Terms of Service

These Terms of Service ("Terms") govern your access to and use of Verdex Wallet and related services (the "Services").
By accessing or using Verdex Wallet, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You represent and warrant that:
- You are at least 18 years old
- You have the legal authority to enter into these Terms
- Your use of the Services complies with applicable laws and regulations
2. Non-Custodial Wallet
Verdex Wallet is a non-custodial cryptocurrency wallet. We do not:
- Hold or custody your assets
- Store your private keys
- Recover lost seed phrases
- Reverse blockchain transactions
- Control wallet activity
You alone are responsible for maintaining access to your wallet and digital assets. Loss of private keys or recovery phrases may result in permanent loss of assets.
3. Blockchain Risks
Blockchain technology and digital assets involve significant risks, including:
- Market volatility
- Smart contract vulnerabilities
- Validator failures
- Cybersecurity threats
- Blockchain forks
- Regulatory uncertainty
- Irreversible transactions
- Loss of assets
You acknowledge and accept all risks associated with digital assets and blockchain networks.
4. No Financial Advice
Verdex Wallet provides software tools only. Nothing within the Services constitutes:
- Financial advice
- Investment advice
- Legal advice
- Tax advice
- Brokerage services
- Custodial services
You are solely responsible for evaluating transactions and digital assets.
5. User Responsibilities
You are solely responsible for:
- Securing your wallet credentials
- Backing up recovery phrases
- Maintaining device security
- Verifying wallet addresses
- Reviewing transaction details
- Compliance with applicable laws and taxes
Blockchain transactions are generally irreversible. Verdex Wallet cannot recover or reverse transactions once submitted to the network.
6. Prohibited Activities
You agree not to use Verdex Wallet for:
- Illegal activities
- Money laundering
- Fraud
- Terrorist financing
- Sanctions violations
- Unauthorized securities activity
- Hacking or malicious attacks
- Distribution of malware
- Exploitation of vulnerabilities
7. Third-Party Services
Verdex Wallet may integrate with third-party platforms and decentralized applications. We do not control third-party services and are not responsible for:
- Smart contract failures
- Third-party outages
- Security breaches
- Pricing inaccuracies
- Liquidity issues
- Asset losses caused by third parties
Your use of third-party services is at your own risk.
8. Intellectual Property
All Verdex Wallet branding, software, content, logos, and interfaces are owned by Verdex Wallet, Solarious, or their licensors. You receive a limited, revocable, non-exclusive license to use the Services in accordance with these Terms.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available."
To the maximum extent permitted by law, Verdex Wallet disclaims all warranties, including:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- SECURITY
- ACCURACY
- RELIABILITY
- AVAILABILITY
We do not guarantee uninterrupted or error-free operation.
10. Limitation of Liability
To the maximum extent permitted by law, Verdex Wallet, Solarious, affiliates, officers, employees, contractors, and partners shall not be liable for:
- Loss of digital assets
- Trading losses
- Lost profits
- Lost data
- Indirect damages
- Incidental damages
- Consequential damages
- Special damages
This limitation applies regardless of the legal theory asserted.
11. Indemnification
You agree to indemnify and hold harmless Verdex Wallet, Solarious, affiliates, employees, officers, and partners from claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms, your violation of applicable laws, or your blockchain activities.
12. Termination
We may suspend or discontinue access to the Services at any time for security, operational, or legal reasons.
Because Verdex Wallet is non-custodial, termination does not affect ownership of blockchain assets controlled by your private keys.
13. Modifications
We may modify these Terms periodically. Updated Terms become effective upon posting. Continued use of the Services constitutes acceptance of revised Terms.
14. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
15. Sanctions and OFAC Compliance
You may not use Verdex Wallet if:
- You are located in, incorporated in, or ordinarily resident in any jurisdiction subject to sanctions or embargoes imposed by the United States, European Union, United Kingdom, United Nations, or other applicable authorities
- You are identified on any sanctions or prohibited-party list maintained by OFAC, the U.S. Department of Commerce, the United Nations, the European Union, or other governmental authority
- Your use of the Services would violate applicable export control or sanctions laws
You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations.
16. Export Control
The Services may be subject to export control and economic sanctions laws of the United States and other jurisdictions. You agree not to use, export, re-export, transfer, or make available the Services in violation of applicable export control or sanctions laws.
17. Token Swaps, Staking, and Validator Services
Verdex Wallet may provide access to token swaps, staking services, validator participation, delegation mechanisms, or decentralized finance features. You acknowledge and accept that:
- Token swaps may involve slippage, liquidity shortages, pricing volatility, failed transactions, or smart contract vulnerabilities
- Staking and delegation may expose assets to validator penalties, slashing events, downtime risks, protocol failures, or loss of rewards
- Rewards are not guaranteed
- Digital asset values may fluctuate significantly
Participation in staking, delegation, validator activity, swaps, or decentralized protocols is entirely at your own risk.
18. Solarious Network Disclosures
Verdex Wallet is designed for use with the Solarious blockchain ecosystem. The Solarious network may involve experimental or evolving blockchain technologies, including:
- Validator consensus systems
- Proof-of-Energy mechanisms
- Environmental asset tokenization
- Renewable energy validation infrastructure
- Smart contracts
- Governance systems
- Digital asset issuance mechanisms
You acknowledge that blockchain protocols remain subject to technological, regulatory, economic, and cybersecurity risks.
19. NFT and Digital Collectible Disclaimer
Verdex Wallet may allow interaction with NFTs, digital collectibles, or related marketplaces. Verdex Wallet does not:
- Guarantee authenticity or ownership validity of NFTs
- Verify creator rights
- Guarantee marketplace availability
- Guarantee liquidity or resale value
- Moderate third-party NFT content
NFTs and digital collectibles may lose value entirely. You are solely responsible for evaluating NFT transactions and associated risks.
20. Tax Responsibility
You are solely responsible for determining and fulfilling any tax obligations associated with your use of the Services, including:
- Cryptocurrency transactions
- Token swaps
- NFT transactions
- Staking rewards
- Validator rewards
- Capital gains
- Income reporting
Verdex Wallet does not provide tax advice. You should consult your own tax advisors regarding digital asset taxation.
21. Arbitration Agreement
Please read this section carefully.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration, rather than in court, except where prohibited by law.
Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) and shall take place in Delaware, unless otherwise required by applicable law.
22. Class Action Waiver
You agree that any claims against Verdex Wallet or Solarious shall be brought solely in your individual capacity and not as:
- A plaintiff or class member in any class action
- A representative action participant
- A collective proceeding participant
- A private attorney general action participant
You waive any right to participate in class-action litigation or class-wide arbitration.
23. GDPR Notice for European Users
If you are located within the European Economic Area (EEA), United Kingdom, or similar jurisdictions, you may have rights under applicable data protection laws, including:
- The right to access personal data
- The right to correct inaccurate information
- The right to request deletion
- The right to object to processing
- The right to data portability
- The right to lodge complaints with supervisory authorities
Because Verdex Wallet operates as a non-custodial wallet, much blockchain-related activity may remain permanently recorded on public distributed ledgers outside our control.
24. California Privacy Disclosure (CCPA)
If you are a California resident, you may have rights under the California Consumer Privacy Act (CCPA), including:
- The right to know what personal information is collected
- The right to request deletion of certain information
- The right to request disclosure of categories of collected information
- The right not to be discriminated against for exercising privacy rights
Verdex Wallet does not sell personal information as defined under the CCPA.
